End User License Agreement (EULA)

Effective Date: January 1, 2025

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Oifos ("Company") for the use of Oifos web site ("Software"). By using the Software, you agree to be bound by the terms of this EULA.

2. License Grant

The Company grants you a non-exclusive, non-transferable, revocable license to use the Software in accordance with the terms of this EULA. This license is for personal or commercial use.

3. User Responsibilities

You agree to:

  • Use the Software in compliance with all applicable laws and regulations.
  • Not upload any unlawful content or engage in any criminal activities using the Software.
  • Take steps to protect and backup your data regularly.
  • Not attempt to reverse engineer, decompile, or disassemble the Software.
  • Not use the Software to infringe on the intellectual property rights of others.

4. Data Storage and Security

The Company will take reasonable measures to protect your data. However, the Company is not responsible for any data loss. You are responsible for maintaining backups of your data. The Company does not guarantee the security of data transmitted over the internet.

5. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any damages arising out of or in connection with the use or inability to use the Software. This includes, but is not limited to, data loss, business interruption, or any other pecuniary loss. The Company’s total liability to you for any damages shall not exceed the amount you paid for the Software.

6. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, or expenses arising out of your use of the Software. This includes, but is not limited to, any breach of this EULA, any violation of law, or any infringement of the rights of a third party.

7. Compliance with Local Laws

The Company will comply with all applicable local laws and regulations in providing the Software. You are responsible for ensuring that your use of the Software is in compliance with all applicable laws and regulations in your jurisdiction.

8. Termination

The Company may terminate this EULA at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession. The Company reserves the right to terminate your access to the Software without notice if you violate any terms of this EULA.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of New York State, United States. Any disputes arising out of or in connection with this EULA shall be resolved in the courts of New York State.

10. Entire Agreement

This EULA constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes all prior agreements and understandings. Any modifications to this EULA must be in writing and signed by both parties.

11. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. The invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.

12. Waiver

The failure of the Company to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. Any waiver of any provision of this EULA will be effective only if in writing and signed by the Company.

13. Assignment

You may not assign or transfer your rights or obligations under this EULA without the prior written consent of the Company. The Company may assign its rights and obligations under this EULA without your consent.
